YOUR LEASE AGREEMENT
By completing all required fields and submitting this electronic form, you, The Lessee are
acknowledging that you have read this agreement in its entirety and are agreeing to all the
terms and conditions of this lease. To facilitate the efficiency of online transactions
you will be required to fill out an information sheet below which will include specific lease
information. You should print this completed lease agreement for your files as well as the
schedule of leased Props that you have reserved on the EPropsource “Order Page”. We urge
you to communicate with us regarding the cost of shipping or any other questions you may have.
LEASE AGREEMENT
EPropSource (hereafter “EPS”) is the Lessor under this agreement. You are the Lessee.
TERMS AND CONDITIONS
LEASED PRODUCTS, PRICE, PERIOD OF LEASE AND INSURANCE COVERAGE FOR PRODUCTS
General Information:
1) The standard prop rental period is one week from the date the prop is in your possession.
The term “Leased Prop” as used in this Agreement can refer to one leased prop item or more
than one leased prop item as selected by you in the EPS “order page” (aka "Shopping Cart").
2) You shall have use of the Lease Prop(s) for a period of one week from the date the Leased
Prop is in your possession unless otherwise stated below in the “Period of the Agreement” form.
3). If the Leased prop is rented for a period longer than the standard weekly rental period, you
will automatically be offered the second week at a rate of 50% of the initial week rental rate.
Longer period rentals are available and require communication with EPS
4) You shall pay EPS the agreed rental and return the Leased Prop in a timely manner and in an
undamaged condition.
5) EPS respects your privacy and will not sell, trade, or donate contact information you provide
to EPS to outside vendors.
6) EPS utilizes a credit card security system called Secure Socket Layers (SSL) to provide you
with the highest level of security for credit card transactions. We also accept checks, money
orders, & wire transfers as payment.
NOW THEREFORE, in consideration of the mutual promises contained herein, the receipt
and sufficiency of which are hereby acknowledged, the parties have executed this Agreement as
of the date listed below.
PAYMENT TERMS
a) You will pay a 100% (One Hundred percent) of the weekly rental on confirmation of
the booking to EPS, the payment for the rental will occur after your order is placed and you are
checking out in the Shopping Cart.
b) You shall forward to EPS a signed and completed Credit Card Authorization Form found herein
(hereafter “Authorization Form”), notwithstanding that card payment, final payment can be made
by other means; check or bank transfer by prior arrangement with EPropsource. If you prefer,
for security reasons, you can print the Authorization Form and Fax it to EPS at 610-917-8619.
d) In rare circumstances a security deposit will be required on certain items that are virtually
irreplaceable (e.g. The Siberian Tiger). The security deposit usually takes the form of an account debit
authorization signed by you that is only utilized if a Prop is not returned, or returned damaged.
USE
a) EPS shall have the Leased Prop ready for your pick up and/or delivery on the agreed date and
time and you shall accept such delivery of Leased Prop on the agreed delivery date and time.
b) You agree to use the Leased Prop only in circumstances and in the manner for which the
Leased Prop(s) was designed.
MAINTENANCE AND REPAIR OF THE LEASED PRODUCT
a) For the duration of the Agreement, you undertake to handle the Leased Prop with the utmost
care and to reasonably maintain the Leased Prop.
b) You are aware that the Leased Prop is expensive to produce and costly to repair, and in the
event that the Leased Prop is damaged, in any way, the reasonable repair costs will be incurred
by you. If EPS repairs the damaged prop internally, you agree to pay a labor charge of a
minimum of $60 per hour plus the cost for replacement material.
c)You hereby undertake not to effect any alterations to the Leased Prop including, but not limited
to, pinning, tacking, stapling, sewing, screwing or painting, without the expressed written consent
of EPS. Alterations shall include any action, which alters the appearance and or material structure
of the Leased Prop.
RISK
You accept all risk of damage to or destruction of the Leased Prop from the time the Leased Prop
is shipped from EPS warehouse to the time you return ship the Leased Prop to EPS warehouse in
Oaks, PA.
INSURANCE
a ) Insurance is a requirement of your lease. By completing the information on the lease agreement
you agree to provide EPS with an insurance rider naming EPS as Loss Payee and Additional Insured
on your insurance policy.
b) EPS will not dispatch the Leased Prop to the Lessee until you have produced written proof that
a insurance firm has underwritten the Leased Prop for the benefit of EPS.
c) The insurance policy should list the replacement value of each prop as five times the single
weekly rental amount .
RETURN
a) Return of the Leased Prop to EPS warehouse on the agreed date is imperative and this
undertaking is specifically agreed upon by you.
b) You understand and agree that failing to return the Leased Prop to EPS warehouse in Oaks, PA
will result in a penalty fee.
c) You hereby agree to pay the penalty fee as described herein: if the prop is returned from 1( one)
day to 3 (three)days, beyond the initial standard one week period (previously explained), you will
be charged 50% of the initial weekly rental charge for that period over the initial rental week up to
3 days late. Thereafter, the penalty fee will be calculated at 20% per day of the initial weekly rental
rate payable for each day you are in default of returning the Leased Prop.
Examples: You lease a prop for $100 per week,
a) The prop is returned 1 day late—the late charge is $50
b) The prop is returned 3 days late—the late charge is still $50
c) The prop is returned 4 days late, the late charge is $50 plus $20 (20% of the weekly rental for
the 4th day late.
d) The prop is returned 6 days late. The late fee is $50 plus $60 (3x$20) or $110.
SHIPPING, STORAGE AND CARRIAGE COSTS
a) You shall pay all direct and incidental costs relating to shipping, storage and carriage of the
Leased Prop to and from EPS warehouse in Oaks, PA.
b) The payment for shipping will occur after your order is placed and you are checking out in the
Shopping Cart. The payment will be in addition to the stated leased rate.
c) You shall reimburse EPS at a surcharge of 20% (TWENTY PER CENT), of all costs relating
to shipping, storage, and carriage that EPS has incurred in order to retrieve the Leased Prop.
CANCELLATIONS
a) In the event that you cancel the booking within 14 (fourteen) days before the scheduled shipping
date you shall forfeit 50% of the charges for Prop Rentals. Shipping charges will be returned in full.
b) In the event that you cancel the booking within 8 (eight) days before the scheduled shipping
date, you will be liable in full for the agreed rental excluding shipping charges.
DISCLAIMER OF WARRANTY
EPS EXPRESSLY DISCLAIMS, AND YOU HEREBY EXPRESSLY WAIVE, ALL
WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION,
WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. EPS DOES NOT WARRANT AND SPECIFICALLY DISCLAIMS ANY REPRESENTATIONS
THAT THE LEASED PROP WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION
OF THE LEASED PROP AND ITS USE WILL BE UNINTERRUPTED OR ERROR-FREE, OR
THAT DEFECTS IN THE LEASED PROP, IF ANY, WILL BE CORRECTED. THE LEASED
PROP IS PROVIDED “AS-IS” WITH NO GUARANTEE OF COMPLETENESS, ACCURACY
OR TIMELINESS, AND THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE
OF THE LEASED PROP IS WITH YOU.
INDEMNIFICATION
Except to the extent arising from EPS gross negligence or willful misconduct, you agree to indemnify,
defend and hold EPS harmless from any third party claims, actions, proceedings and expenses,
including attorney’s fees, related to or arising from your or any third parties use of the Leased Prop.
JURISDICTION
This Agreement is governed by the laws of the United States of America (Pennsylvania), without
giving effect to the principles of conflict of international treaties. The parties hereby agree on behalf
of themselves and any person claiming by or through them that the sole and exclusive jurisdiction
and venue for any litigation arising from or relating to this Agreement will be an appropriate court
situated in the State of Pennsylvania in the United States of America.
ASSIGNMENT
You may not assign, without the prior written consent from EPS, your rights or duties under this
Agreement to any person or entity, in whole or in part, whether by assignment, merger, transfer of
assets, sale of stock, operation of law or otherwise, and any attempt to do so will be deemed a
material breach of this Agreement. This Agreement and the rights and obligations contained herein
will apply to, inure to the benefit of, and be binding upon the parties, hereto and upon their permitted
successors in interest and permitted assigns.
ENTIRE AGREEMENT
This Agreement, evidences the complete understanding and agreement of the parties with respect to
the subject matter hereof and supersedes and merges all previous proposals, communications,
representations, understandings and agreements, whether oral or written, between the parties with
respect to the subject matter hereof. This Agreement may not be modified except by a writing
subscribed to by both parties.
CREDIT CARD / DEBIT AUTHORIZATION
EPropSource props are expensive to fabricate and any damage and repairs could prove costly. If the
prop is damaged, significant cost to repair and/or repaint it can result. If EPropSource repairs
damaged props internally, the charge to your company will be a minimum labor cost of $60.00 per
hour plus the cost for replacing material.
If the props are handled responsibly the chance of damage occurring is minimal. In order to reduce
the incidence of damage, it is recommended that only experienced personnel handle the props. Avoid
having the props get wet or their use in adverse climate conditions, unless it was reviewed by one of
our employees. If your company is aware of proper procedures, the props will remain in good
condition and prevent your company being subjected to unnecessary costs to repair the props.
TERMS AND CONDITIONS OF RENTAL
DURATION OF RENTALS: The standard rental period is seven days.
DEPOSIT AND FINAL PAYMENT: A 100% payment is required for all rentals on confirmation of
the booking. Even if payments are made by check, a completed Credit Card Authorization
form is required for security purposes and should be signed and faxed back to our office.
This is to cover any loss or damages or delayed return of rentals beyond the terms of the contract.
When credit cards are used for deposits, any finance charge assessed by your bank as a consequence of
the deposit shall be borne by the credit card holder. Final payment is due 21 days prior to the
prop being shipped from our office.
DAMAGES AND ALTERATIONS: You and/or Your Company is responsible
for any damage to or loss of the prop from the time it leaves the EPS warehouse
until it is returned. Our props must have no alterations of any kind, such as; pinning,
tacking, stapling, sewing, or painting without expressed written authorization of EPS.
If the props are altered or damaged, you agree to allow EPS to debit your credit card
in an amount equal to the costs associated with repair or replacement.
INSURANCE: Prior to shipment, arrangements should be make to provide insurance coverage for
the replacement cost of the items being rented (You can usually use 5 times the weekly rental rate
for replacement value for insurance coverage. Exception: Animal taxidermy, CALL FOR
AMOUNTS). EpropSource Inc. should be named as additional insured on your liability policy.
Please fax a copy of this insurance policy to our office.
SHIPPING: All items are shipped from our offices in Oaks, Pennsylvania via various
shipping companies. Shipments must be returned to our office on the same carrier with prepaid
-shipping. Items returned to us on our account or C.O.D. will be subject to a handling charge of
20% of the shipping cost.
LATE RETURNS: This rental agreement is for the duration that the prop is away from our
premises. Since other customers will need the prop/s for their events, prompt return of the props
is extremely important. Accordingly, items returned late will be assessed a late charge of 50% of
the initial weekly rental charge for the period of 1 to 3 days late; an additional daily late charge of
20% per day of the first weeks rental rate is charged after the 3rd day late
